I understand that you want to create such document/agreement which incorporates the clauses given therein. However, please note that the equity share holders are unsecured. Whenever a company goes into liquidation, the equity shareholders are the one who are paid at the end and out of the leftover. Further, also note that the company can go into liquidation through various routs e.g, via court. So It is prudent to draft such documents in line with the provisions of companies act, other statutory provisions, AOA and MOA.
