Write a Contract

Ok here is the scenario that me and my partners are in. This is the foundation for the contract for services we need created as well as an operating agreement for the firm. The Urban Property Group, LLC The Urban Property Group is a full-service real estate investment services company. Our system is designed to match investors with good credit and modest liquidity with quality real estate investment opportunities. At the end of the day all we do is match our clients up with members of our referral network. We serve as the proxy for our clients, even though the client has direct contracts with our referral network service providers, i.e. we work with Carnegie Kitchens & Bath as our preferred General Contractor, so our client would have a contract with Carnegie Kitchens & Bath to do the GC work, not with us here at UPG. We work with a realtor so again this is a service of matchmaking for our clients, the client will have a buyers agreement with the Realtor not UPG. So at the end of the day UPG makes its money based on a percentage of the total package i.e. purchase price of home, cost of rehab, cost of tenant placement, cost of property management or any service that was provided by our network of service providers. So if the total cost is $220k we charge 6% for project management and once project is complete if client is in a “buy and hold” model and want UPG to serve as ongoing proxy then we would charge a monthly fee. The contract must include a section for the both the client and service provider a “non compete” or “non-poaching” clause. So that is the overall concept we provide the service of matchmaking and serving as the clients proxy project manager.
